Officer Duties

CCYC is organized as a nonprofit corporation with corresponding bylaws that govern its management and operation.  Following is a brief list of officer and board member responsibilities as summarized and extracted from the club's bylaws. 

bulletCommodore
  1. Chief Operating Officer responsible for yacht club operations. 
  2. Presides over meetings of the Board of Directors.
  3. Appoints Committees as authorized by the Board.
  4. Defines duties of Committees as authorized by the Board.
  5. Performs additional duties and powers as authorized by the Board.
bulletVice Commodore
  1. Serves as second in command.
  2. Assists the Commodore according to the Commodore's discretion.
  3. Presides in the absence of the Commodore. 
  4. Serves as an ex-officio member of all Committees as liaison with the Commodore and the Board.
bulletRear Commodore
  1. Serves as third in command.
  2. Presides in the absence of the Commodore and Vice Commodore.
  3. Responsible for social and allied activities in cooperation with the Vice Commodore. 
  4. Represents the club in presenting any physical problems of the club to Marina Management.
  5. Official greeter of visiting yacht clubs.
  6. Serves as an ex-officio member of all Committees as liaison with the Commodore and the Board.
bulletPort Captain
  1. Responsible for the club's physical property and supplies.
  2. Schedules, organizes and oversees port functions.
  3. Server as official greeter of visiting yacht clubs in the absence of the Rear Commodore.
  4. Performs under the direction of the Rear Commodore and the Board.
bulletFleet Captain
  1. Responsible for planning of organized cruises and other outings.
  2. Performs under the direction of the Vice Commodore and the Board.
bulletSecretary
  1. Records all proceedings of the Board and members.
  2. Keeps the corporate seal and blank membership cards.
  3. Records and countersigns all issued membership cards.
  4. Serves all notices required by law or the bylaws of the club.
  5. Produces newsletter for delivery to membership.
  6. Delivers welcome packages to new members.
bulletTreasurer
  1. Collects and receives all moneys due to the club.
  2. Pays bills approved and authorized by the Board. 
  3. Keeps checkbook and issues checks.
  4. Keeps financial records of the club according to good business practices.
  5. Reports financial standing to the Board and general club membership.
  6. Delivers membership cards to members in good standing.
bulletMeasurer
  1. Records and updates the membership roster.
  2. Delivery of the roster for publication in the PICYA Yachting Yearbook.
  3. Performs under the direction of the Secretary and the Board.
bulletPICYA Delegate
  1. Attend monthly PICYA meetings.
  2. Present club's RBOC donations to PICYA.
  3. Serve as liaison with PICYA, communicating relevant items of interest and concern to/from club membership.
  4. May serve on one or more special interest committees as appointed by PICYA officers/directors.

bulletBoard of Directors / Board Members
  1. Comprised of 8 officers and 5 board members, totaling 13 directors.
  2. Generally responsible for the management of the club.
  3. Subject to restrictions imposed by law and club bylaws.
  4. Adopt and alter a common seal of the club.
  5. Adopt and change regulations of the bylaws.
  6. Appoint members to fill vacancies on the Board.
  7. Appoint, remove or suspend subordinate officers and determine their duties.
  8. Authorize and secure payment for any property purchased.
  9. Enforce proper record keeping of all minutes and acts of all board meetings.
  10. Authorize all indebtedness, but not beyond the club's ability to pay.
  11. Designate two officers with signature authority for checks.
  12. Audit bills, financial and meeting minutes.
